Meaning
Contractual transfer of legal protection from a component manufacturer through a system integrator to the end customer ensures that the party responsible for the technology handles any claims. Utilizing a pass-through indemnity allows the integrator to extend the chip vendor’s intellectual property guarantees directly to the product buyer without assuming personal liability. This arrangement is common in complex electronics where the integrator cannot verify the underlying patents of every chip.
It ensures that patent lawsuits are handled by the company that designed the silicon.
Risk Flow
Moving the legal responsibility down the supply chain protects the intermediate assembler from expensive legal battles. When a third party files a lawsuit claiming patent infringement, the integrator passes the defense of that claim to the chip supplier. This process works because the supplier is in the best position to defend their own technology.
Legal Matching
Agreements must be written carefully so that the terms of the customer contract match the terms received from the supplier. If the supplier limits their liability, the integrator must include the same limit in the contract with the customer. This alignment prevents the integrator from being stuck with a liability that exceeds what they can recover from the supplier.
Enforcement Limit
Challenges arise if the supplier is located in a different country where enforcing the legal agreement is difficult or slow. When a legal claim is made, the integrator may have to handle the initial defense while trying to get the supplier to take over. This risk requires selecting reliable suppliers who have the financial strength to back up their legal commitments.
