It gives the product maker the confidence to proceed with volume production.
Liability Shield
The release limits the buyer’s liability if a third party files an infringement claim against the module. It often includes an indemnity clause where the supplier agrees to defend the buyer against such claims. This protection is a standard requirement for major retail launches where liability exposure is high.
It ensures that the risks of using third-party modules are shared fairly.
Integration Right
Software integration rights are granted to compile, modify, and distribute the supplier’s proprietary software as part of the buyer’s firmware build. This right includes compiling the code, linking it with other libraries, and flashing it onto the device. Without this explicit release, the buyer cannot legally distribute firmware updates to customers.
This clause is a mandatory part of the handover documentation for any custom-built connectivity module.
